Terms of Purchase and Use

These terms govern the purchase and use of services and digital content offered through synage.ee (including ennetusmeditsiinikliinik.ee). Two separate and independent service providers operate on the site: OÜ MediArte (healthcare services) and OÜ Süsivesik (SAADI Akadeemia and online shop). For each purchase, the contracting party is identified on the invoice.

1. Contracting parties and division of responsibility

1.1. OÜ MediArte — healthcare services, consultations, clinical packages

OÜ MediArte is always the contracting party where the purchase concerns a doctor's appointment, remote consultation, a clinical package, a health-optimization program, interpretation of test results, or any other healthcare service.

OÜ Süsivesik is always the contracting party where the purchase concerns a course, webinar, recording, book, PDF guide, digital material, shop product, or access to the learning environment. SAADI Akadeemia content is educational and informational — it is not a healthcare service, contains no personal diagnosis or treatment plan, and does not replace a consultation with a doctor.

1.3. Independent companies

OÜ MediArte and OÜ Süsivesik are separate legal entities. Neither is liable for the obligations of the other. Liability for healthcare services and educational services is clearly separated: clinical liability is borne solely by OÜ MediArte under its license; liability for educational and digital content is borne solely by OÜ Süsivesik.

2. Placing an order and conclusion of the contract

  • Orders are placed via the website form or the booking system.
  • When placing an order, the customer confirms that they have read these terms and the privacy policy.
  • The contract is deemed concluded upon order confirmation and confirmation of payment.
  • Access to a digital product is unlocked automatically in your account at /konto after the payment has been received.
  • Consultation bookings are confirmed by e-mail; to reschedule, please contact us at least 24 hours in advance.
  • An invoice is issued by e-mail in the name of the company that actually provides the service.

3. Prices, payments and invoices

  • All prices are in euros. OÜ Süsivesik is registered for VAT (EE102937644); VAT is either included in the price or added on the invoice.
  • Payment methods: bank link (Montonio), card payment and, where available, installments (via Montonio — partner Inbank, where offered on the product).
  • Payment gateway providers are authorised processors and process payment data under their own privacy terms.
  • Prices may change without prior notice; for orders already placed, the price at the time of order confirmation applies.

4. Courses, webinars and digital materials (OÜ Süsivesik)

4.1. Access and duration

  • Evergreen courses: access is continuous unless stated otherwise on the product page.
  • Webinar recordings: access for at least 12 months from purchase, unless the product specifies a longer period.
  • Live webinars: attendance on the pre-announced date; the provider may change the date for valid reasons, in which case a replacement slot or recording is offered.
  • PDF guides and books: downloadable after order confirmation.
  • Access is personal and non-transferable. The account, password and access must not be shared with third parties.

4.2. Technical requirements

Using the content requires a modern browser and a stable internet connection. Video is delivered via the Bunny.net Stream CDN; recording, downloading, screen capture or repurposing the content is prohibited.

4.3. Intellectual property

All content (videos, texts, design, PDFs, slides, workbooks) belongs to OÜ Süsivesik or is used under license. Copying, distributing, publishing, modifying or using the content for commercial purposes without written permission is prohibited and may trigger a damages claim and a contractual penalty of up to €5,000 per infringement.

4.4. Right of withdrawal and the digital-content exception

Under the Estonian Law of Obligations Act, consumers generally have a 14-day right of withdrawal. For digital content not delivered on a physical medium, the consumer loses the right of withdrawal from the moment they consent to immediate access and confirm awareness of losing the withdrawal right (LOA § 532(2)(1)). Ticking the checkbox at order confirmation constitutes such consent.

Notwithstanding the above, we offer a voluntary satisfaction guarantee: 14 days from purchase. If you have completed the first module of a course (or watched up to 20% of the content) and conclude that the product does not meet your expectations, please contact kursused@synage.ee — we review requests within 5 business days and, where the request is justified, issue a refund. The guarantee does not apply once a substantial part of the content (more than 20%) has been consumed or downloaded.

4.4.1. Refunds by product format

  • Recording / PDF / downloadable material — access is granted immediately at purchase; by confirming the order the buyer consents to immediate access and waives the 14-day right of withdrawal (LOA § 532(2)(1)). No refund after access has been opened.
  • Evergreen (self-paced) course — full refund within 14 days of purchase, provided less than 20% of the content has been opened.
  • Live course / cohort program — full refund up to the start of the cohort. After the start, no cash refund; instead we issue a credit for the next cohort of the same course.
  • Bundle — refundable as a whole only, under the rule applying to the most restrictive component in it. Individual items in a bundle are not refunded separately.

4.5. Cancelling a live webinar

  • The customer may cancel at least 7 days before the webinar → full refund.
  • Cancellation within 7–24 hours → replacement slot or access to the recording.
  • Cancellation less than 24 hours in advance or no-show → no refund; the recording remains available.

5. Consultations and clinical packages (OÜ MediArte)

5.1. Booking and payment

No prepayment is required for any service or package. Booking is free and the service is invoiced after it has been provided; for programs, after the free fit check.

5.2. Cancellation and rescheduling terms for visits

  • Booking is free of charge. OÜ MediArte does not require a deposit or advance payment for consultations or diagnostic packages — the service is invoiced after it has been provided.
  • The client may cancel or reschedule a visit free of charge by giving notice at least 24 hours before the agreed start time. Notice is deemed given when sent to info@synage.ee or to the clinic's confirmed phone number and received by the clinic.
  • If the client cancels less than 24 hours in advance or does not attend, OÜ MediArte may invoice up to 50% of the service price for the reserved time (reasonable compensation for the reserved resource under §§ 108 and 115 of the Estonian Law of Obligations Act).
  • No compensation is charged where the cancellation is caused by sudden illness, an accident, bereavement or another valid impediment notified as soon as possible. The clinic may ask for a free-form explanation; no certificate is required.
  • If the clinic cancels (doctor's illness or other unforeseen circumstances), a new time is offered as soon as possible and any amount already paid is refunded in full within 14 days at the client's request. Indirect costs such as travel or accommodation are not reimbursed.
  • The cost of laboratory tests already performed and of sensors (e.g. CGM), genetic or microbiome kits remains payable even if the visit is cancelled, provided the sample has been taken or the kit issued to the client.
  • A healthcare service is not an ordinary distance-selling product with a right of withdrawal under § 53(4)(2) and (7) of the Law of Obligations Act: an appointment is a service agreed for a specific time and individually performed analyses cannot be returned. The client's right to cancel on the terms above applies regardless.
  • The doctor may decline to provide a service that is not medically justified or where the client has given materially incorrect information; no fee is charged in that case.
  • Complaints and refund requests are handled at info@synage.ee. If no agreement is reached, the client may turn to the Consumer Disputes Committee (Consumer Protection and Technical Regulatory Authority, Endla 10a, Tallinn) or to a court.

5.2.1. Program cancellation and discontinuation terms

  • Every program (30, 60 or 90 days) starts with a free fit check. No prepayment is required: the invoice is issued after the fit check is confirmed and the program has started, according to the agreed payment schedule.
  • If the fit check shows that the program is not medically justified, no invoice is issued and no payment obligation arises.
  • The program begins with a first 45-minute visit. The number of subsequent appointments is fixed in the package and their timing is agreed between the doctor and the patient during the program.
  • An individual appointment can be moved or cancelled free of charge with at least 24 hours' notice. With later notice or a no-show, the appointment counts as delivered and is deducted from the package.
  • The client may discontinue the program at any time by written notice (info@synage.ee). In that case the client pays for: appointments already held at the current price list, the actual cost of laboratory tests, sensors and kits performed or ordered, and the written individual plan if it has been handed over.
  • No charge is made for the remaining, undelivered part, and any amount already paid is refunded within 14 days of the notice. If the value of services already delivered exceeds the amount paid, the clinic invoices the difference with a 14-day payment term.
  • If the client does not attend agreed appointments for 30 consecutive days and does not respond to repeated contact from the clinic, the clinic may close the program using the calculation in this clause.
  • The clinic may discontinue a program where continuing is not medically safe or justified; the client then pays only for the part already delivered and the remainder is refunded within 14 days.
  • For a valid reason (illness, travel, pregnancy) the program may be paused by agreement for up to 60 days. The pause is confirmed by email and extends the end date by the same period.
  • Ongoing Telegram or WhatsApp support applies during the program on working days. Medical questions are answered by the doctor, organizational questions by the clinic assistant. No messaging channel is an emergency channel — in an emergency call 112.

5.3. Package content and validity

  • The exact content of each package, the number of visits, duration and validity are described on the product page and in the order confirmation.
  • Packages are personal and non-transferable without OÜ MediArte's written consent.
  • Refunds for unused visits are calculated based on the market price of the services delivered; the portion already delivered is non-refundable.
  • The validity of a package is generally 12 months from purchase unless otherwise stated.

5.4. Nature of the healthcare service

The healthcare service is provided in accordance with the Health Services Organisation Act and Chapter 41 of the Law of Obligations Act. The doctor has the right to refuse the service where it is not medically justified, where the patient provides false information, or where the service cannot be safely delivered remotely.

In an emergency (acute pain, accident, life-threatening symptom) call 112. The website and messaging channels are not channels for emergency care.

5.5. Professional liability insurance

OÜ MediArte is liable for the quality of the healthcare service to the extent prescribed by law and holds mandatory professional liability insurance. Details are available on the patient rights page.

6. Limitations of liability and medical disclaimer

SAADI Akadeemia courses, webinars, books and guides are general educational material and not a personal medical recommendation. OÜ Süsivesik and the course authors are not liable for damage arising from the use of the materials without a doctor's consultation, including in respect of treatment plans, medication dosing or dietary changes.

Individuals with chronic illnesses, pregnant or breastfeeding people, those on medication or under specialist supervision must consult their doctor before applying the recommendations in the content.

Maximum liability, regardless of its basis, is limited to the amount paid for the specific product or service, except where the law provides otherwise (including damage caused intentionally or through gross negligence, and harm to health in the provision of a healthcare service).

6.A § 21 of the Advertising Act and content separation

The website hosts material from two independent companies. Separate rules apply for advertising compliance:

  • OÜ MediArte (the clinic) follows the requirements of § 21 of the Advertising Act when advertising healthcare services: only permitted information is published (provider name, healthcare license L07540, services provided, qualifications, contact details, opening hours, prices, service language); no comparative advertising, no treatment guarantees, no "before and after" images, no promises of a specific result, and no named patient testimonials.
  • OÜ Süsivesik (Saadi Akadeemia) publishes educational and informational material (courses, webinars, articles, recipes, guides, books) which does not constitute advertising of a healthcare service within the meaning of § 21 of the Advertising Act. The Academy does not direct anyone to a specific doctor's appointment on the basis of a medical symptom, does not provide personal diagnoses, and does not promise treatment outcomes.
  • All public Academy materials carry an educational-content note (footer: "Educational content — not a medical recommendation"). The content is reviewed by a subject-matter expert but is not personalized medical advice.
  • The marketing channels of the clinic and the Academy (newsletters, social media, discount codes) are technically separated — Academy channels do not advertise a specific doctor's appointment on a medical indication.
  • Advertising prescription medicines in Estonia is permitted only within §§ 83–87 of the Medicinal Products Act; the website does not publish advertising for prescription medicines.

Advertising compliance is supervised by the Health Board (Terviseamet) (for healthcare services) and the Consumer Protection and Technical Regulatory Authority (for the general Advertising Act). Complaints may be submitted to the relevant company's e-mail address (see section 11).

7. User obligations

  • provide accurate information;
  • keep your account and password secure; do not share access;
  • do not interfere with the operation of the website; do not attempt to gain unauthorised access to content;
  • do not copy, distribute or publish the content;
  • do not transmit health-related data of others without their consent.

8. Force majeure

Neither service provider is liable for non-performance caused by force majeure (including technical failures at third parties, cyber-attack, natural disaster, state restrictions, pandemic). In such cases we will offer, where possible, a replacement service or a refund of the relevant amount.

9. Complaints and dispute resolution

  • Complaints are first resolved through negotiation. Send a description and order details by e-mail to the responsible company (healthcare → info@synage.ee, education → kursused@synage.ee).
  • We respond within 14 days.
  • Consumers have the right to address the Consumer Disputes Committee (komisjon.ee) or the EU online dispute resolution platform (ec.europa.eu/odr).
  • Complaints about the quality of a healthcare service may be submitted to the Health Board or the Healthcare Service Quality Expert Committee.
  • For matters concerning the processing of personal data — the Estonian Data Protection Inspectorate (aki.ee).

Governing law is Estonian law; the competent court is Harju County Court.

10. Changes to the terms

OÜ MediArte and OÜ Süsivesik may amend these terms. The updated version is published on the website and applies from publication. Orders already placed are governed by the version in force at the time of ordering.
